Applicable Law and Jurisdiction

 is MOU The Terms and Conditions of this agreement shall:

• be governed by and construed in accordance with the laws of the Republic of South Africa
• each of the parties consents for all purposes under or pursuant to this agreement or its cancellation or alleged cancellation or termination or alleged termination to the non-exclusive jurisdiction of the High Court of South Africa (Witwatersrand Local Division) or its successor from time to time and all appeal courts therefrom.
